Terms of Service

1. Agreement

By accessing this website or engaging Jythu for professional services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the site or request services. For commissioned work, a separate statement of work or master services agreement may apply and will control where it conflicts with these Terms.

2. Services

Jythu provides digital strategy, design, engineering, and related services as described in proposals and agreements. We assign work to qualified team members and may use subcontractors who are bound by confidentiality and quality standards. Deliverables and timelines are defined in writing for each engagement.

3. Client responsibilities

You agree to provide accurate information, timely feedback, and materials needed to perform the work (including access, credentials, and brand assets where required). Delays or omissions on the client side may affect schedules and may require a change order or additional fees as agreed in writing.

4. Intellectual property

Unless otherwise agreed in writing, Jythu retains ownership of pre-existing materials, methodologies, and tools. Upon full payment for a project, client rights to agreed deliverables are as set out in the applicable contract (typically a license for use in connection with the client's business). Until payment is received in full, we may withhold delivery of final assets where the contract permits.

5. Confidentiality

Both parties will treat non-public business and technical information received from the other as confidential and use it only to perform under the engagement, subject to the confidentiality terms in the governing agreement.

6. Fees and invoicing

Fees, milestones, and invoicing schedules are specified in signed proposals or contracts. Unless stated otherwise, invoices are due in accordance with the payment terms in those documents. Late payments may incur interest or suspension of work as permitted by law and the agreement. Disputes about invoices should be raised promptly in writing so we can review them in good faith.

7. Warranties and disclaimer

We perform services in a professional and workmanlike manner consistent with industry practice. Except as expressly stated in a signed agreement, we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law. Third-party tools, platforms, and APIs are subject to their providers' terms.

8. Limitation of liability

To the maximum extent permitted by applicable law, Jythu and its team will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from these Terms or our services. Our aggregate liability for any claim arising out of or related to an engagement will not exceed the fees paid to Jythu for that engagement in the twelve (12) months preceding the claim, except where liability cannot be limited by law.

9. Indemnity

You will defend and indemnify Jythu against claims arising from materials you supply, your use of deliverables in violation of law or third-party rights, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

10. Termination

Either party may terminate an engagement as set out in the applicable contract. We may suspend or terminate access to the website or services for conduct that violates these Terms or poses a security or legal risk. Provisions that by their nature should survive (including intellectual property, confidentiality, limitation of liability, and governing law) will survive termination.

11. Governing law and disputes

These Terms are governed by the laws applicable to Jythu's operating jurisdiction, without regard to conflict-of-law rules. Parties will first attempt to resolve disputes in good faith through direct discussion. If a dispute cannot be resolved informally, exclusive jurisdiction and venue will lie in the courts specified in your master agreement, or otherwise as required by applicable law.

12. Changes

We may revise these Terms periodically. The "Last updated" date reflects the current version. Continued use of the website after changes constitutes acceptance of the revised Terms. For active client engagements, previously signed agreements continue to govern those projects unless superseded in writing.
